(“JAMS”) in accordance with the JAMS Streamlined Arbitration Rules & Procedures effective as of July 1, 2014 (the “JAMS Rules”), as modified by this agreement to arbitrate. Unless the arbitrator determines, upon request by you or by us, that an in-person hearing is appropriate, any hearings will be conducted via teleconference or videoconference rather than personal appearances. In-person appearances, if necessary, will be held at a mutually convenient location, taking into consideration the parties' ability to travel and other relevant circumstances. If the parties cannot agree on a location, JAMS or the arbitrator will make the determination.

The arbitrator's decision will adhere to the terms of these Terms of Use and will be final and binding. The arbitrator will have the authority to grant temporary, interim, or permanent injunctive relief, or relief providing for specific performance of these Terms of Use, but only to the extent necessary to provide relief justified by the individual claim before the arbitrator. The award issued by the arbitrator may be confirmed and enforced in any court with jurisdiction.

However, despite the aforementioned provisions, nothing in these Terms of Use will prevent you from bringing issues to the attention of federal, state, or local agencies, and if permitted by law, they can seek relief against us on your behalf.

These Terms of Use will be governed by and construed in accordance with the laws of the United States (including federal arbitration law) and the State of Florida, without giving effect to any conflict of law principles.

TERMINATION

These Terms of Use will remain effective unless and until terminated by either you or Consolidated Aircraft Parts. You have the right to terminate these Terms of Use at any time, provided that you cease any further use of the Consolidated Aircraft Parts Site. Consolidated Aircraft Parts also retains the right to terminate these Terms of Use at any time, without notice, and deny you access to the Consolidated Aircraft Parts Site if, in our sole discretion, you fail to comply with any term or provision of these Terms of Use.

GENERAL

These Terms of Use constitute the entire agreement and understanding between you and Consolidated Aircraft Parts, superseding all prior agreements and representations between the parties regarding the subject matter of these Terms of Use. Nothing in these Terms of Use shall create or be construed as creating a partnership, joint venture, employer-employee relationship, agency, or franchisor-franchisee relationship between you and Consolidated Aircraft Parts. Headings used in these Terms of Use are for reference purposes only and do not define or limit the scope of any section. In the event that any provision of these Terms of Use is held to be unenforceable for any reason, such provision will be reformed to the extent necessary to make it enforceable, and the remaining terms of these Terms of Use will remain in full force and effect. The failure of Consolidated Aircraft Parts to act with respect to a breach by you or others of these Terms of Use does not constitute a waiver and will not limit Consolidated Aircraft Parts's rights with respect to such breach or any subsequent breaches. You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms of Use.
